By accessing or using Selmi ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including free tier users and paid subscribers.

2. Description of Service

Selmi provides digital business card creation and management services, including:

• Digital Business Cards: Create and share professional digital contact cards
• QR Codes: Generate scannable QR codes for easy sharing
• Wallet Integration: Add cards to Apple Wallet and Google Wallet
• Analytics: Track card views and engagement (premium tiers)
• Contact Exchange: Exchange contact information with other users
• Email Signatures: Generate professional email signatures with your card
• Event Management: Manage attendees and networking at events (enterprise tier)

3. Account Registration

3.1 Account Creation

To use the Service, you must:

• Create an account using Google Sign-In or Apple Sign-In
• Provide accurate and complete information
• Be at least 16 years of age
• Accept these Terms and our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. User Content

4.1 Ownership

You retain all ownership rights to the content you create and upload to the Service, including your profile information, card designs, and contact details.

4.2 License Grant

By using the Service, you grant us a limited, non-exclusive license to display, distribute, and store your content solely for the purpose of providing the Service. This license terminates when you delete your content or account.

4.3 Content Restrictions

You agree not to upload or share content that:

• Infringes on intellectual property rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, or offensive
• Impersonates another person or entity
• Violates any applicable laws or regulations

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

• Use the Service for spam, phishing, or fraudulent activities
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code
• Use automated means to access the Service without permission
• Resell or redistribute the Service without authorization

6. Subscription Plans and Billing

6.1 Free Tier

The free tier provides basic digital business card functionality at no cost. Free tier features may be modified at our discretion with reasonable notice.

6.2 Paid Subscriptions

Paid subscriptions are billed monthly or annually as selected. By subscribing, you agree to:

• Pay all applicable fees when due
• Automatic renewal unless canceled before the renewal date
• Provide accurate billing information

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. Refunds are handled in accordance with our refund policy.

7. Referral Program

Our referral program allows users to earn rewards by referring new users:

• Free Users: Earn 1 month of Selmi Pro for each referred user who upgrades (up to 12 months)
• Paid Users: Earn 20% revenue share for 6 months on referred paid subscriptions
• Referral credits are non-transferable and have no cash value
• Abuse of the referral program may result in account termination

8. Intellectual Property

8.1 Our Rights

The Service, including its original content, features, and functionality, is owned by Selmi and is protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"Selmi" and associated logos are trademarks of Selmi. You may not use these marks without our prior written permission.

9. Third-Party Services

The Service integrates with third-party services including:

• Google: Authentication and sign-in
• Apple: Wallet pass delivery
• Google Wallet: Wallet pass delivery
• Stripe: Payment processing

Your use of these third-party services is subject to their respective terms and privacy policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELMI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Selmi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason at our discretion with or without notice.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Selmi regarding the use of the Service and supersede any prior agreements.
